Welcome to AASA Consulting Private Limited (AASA Consulting) (“we,” “us,” or “our”). These Terms & Conditions (also called “Terms of Service” or “Terms”) govern your use of our website, platform, AASA Tools+ (an exclusive service provided by us), Services, and any features (present or future) offered by us (collectively, the “Services”). By accessing or using our Services, or purchasing Products, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, you must not use or access our Services.
1. Definitions
“You” / “User” / “Customer” means any person or legal entity using our website, consuming Products, or engaging in services.
“Products” means any digital downloads, AASA Tools+, toolkits, templates, software, resources, documents, intellectual or physical goods offered by us.
“Services” includes consulting/advisory, coaching, third-party expert access, subscription features, support, updates, and all other offerings (now or in the future).
“Third-Party Consultants / Experts” means independent professionals, instructors, or parties whose content, advice, or services may be accessible through or via our platform.
“Add-Ons / Optional Features / Supplementary Services” means additional modules or services, extended features, premium support, delivery, or extras beyond the standard Product or Service.
2. Acceptance & Scope
These Terms apply to your use of:
- Our website and all linked domains and subdomains
- All Products and Services offered
- Any future features, modules, or services that may be added
- Interactions with Third-Party Consultants via our platform
You agree that by using or accessing any part of our Services, you accept and will comply with these Terms.
3. Eligibility & Account
You must be at least of legal age in your jurisdiction or have obtained parental/guardian consent to use our Services.
You represent and warrant that any information you provide (e.g. name, email, payment details) is accurate, complete, and up to date.
You are responsible for maintaining the security of your account credentials and restricting access to your account.
We are not liable for losses due to unauthorized use of your account.
You must notify us immediately of any suspected breach or unauthorized use.
4. Products, Services & Use Rights
When you purchase a Product or subscribe to a Service, you receive a non-exclusive, non-transferable, perpetual (or time-limited, as specified) license to use it for your internal, personal, or professional use, subject to these Terms.
You may not resell, sublicense, distribute, publish, or share the Product, Service, or any part thereof unless explicitly permitted in writing.
We reserve the right to modify, discontinue, suspend, or restrict access to any Product or Service (in whole or part) at our discretion, without liability to you.
5. Third-Party Consultants / Expert Content
From time to time, we may host or link to content, products, or services created by Third-Party Consultants. These Third-Party Consultants are independent and nothing in these Terms makes them our agents, employees, or partners. We do not guarantee the accuracy, reliability, or quality of the offerings of the Third-Party Consultants. Any contract, exchange, or communication you have with a Third-Party Consultant is solely between you and that Third-Part Consultant. We are not liable for any loss, damage, or dispute arising from your dealing with any Third-Party Consultant. We reserve the right (but not obligation) to remove or refuse to host or promote any third-party content.
6. Payment, Pricing & Billing
All fees are as shown on the website (in Pakistani Rupees or other currency) at the time of purchase, unless otherwise specified. Payment must be made in full at the time of purchase or subscription. We may adjust pricing, fees, or features at any time, but such changes will generally apply to new purchases unless otherwise communicated. We reserve the right to refuse or cancel any order or subscription at our discretion. You are responsible for all taxes, duties, or charges applicable in your jurisdiction (unless otherwise stated).
7. Refunds & Returns
Unless otherwise stated, digital Products once downloaded or accessed are not refundable. Refunds (if available) must be requested within the timeframe specified (e.g. 7 days) at the time of purchase of a Service. Refunds do not cover amounts paid for add-ons, optional features, or supplementary services.
8. Intellectual Property & Copyright
All intellectual property rights in the Services, website, Products, content, logos, trademarks, software, and
materials are owned by us. You may not remove, alter, or obscure any of our intellectual property shared with you through the Products, Services or directly from the website. Any unauthorized reproduction, distribution, or derivative work is strictly prohibited. We will enforce our rights vigorously, including pursuing legal action for infringement.
9. Disclaimers & Warranty Exclusions
Our Services are provided “as is” and “as available,” without warranties of any kind — express or implied, including merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not guarantee uninterrupted access, error-free operation, or that any defects will be corrected. We do not warrant that the results obtained from use of the Services will be accurate or reliable. You assume all risk from your use of the Services.
10. Limitation of Liability
To the fullest extent permitted by Pakistani law, our total liability for any claim arising from or connected to these Terms, your use of the Services, or Products shall not exceed the amount you paid to us for the relevant Product or Service. This liability cap expressly excludes amounts paid for add-ons, optional features, delivery, premium support, or supplementary Services. In no event shall we, our affiliates, officers, employees, agents, contractors, or licensors be liable for any indirect, incidental, consequential, punitive, or special damages, including lost profits, loss of data, business interruption, or third-party claims, even if we have been advised of the possibility of such damages. Certain laws in Pakistan may not allow the exclusion or limitation of specific types of damages. In such cases, our liability shall be limited to the maximum extent permitted under applicable Pakistani law.
11. Indemnification
You agree to indemnify, defend, and hold harmless AASA Consulting Private Limited, its officers, directors, employees, agents, affiliates, licensors, and service providers, from and against any claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your violation of any law or the rights of a third party
- Your use of (or inability to use) the Services
- Your interactions with Third-Party Consultant
12. Data Protection & Privacy
We collect, store, and process personal data in accordance with applicable Pakistani data protection legislation.
- While we take reasonable security measures, we cannot guarantee absolute protection against unauthorized access or breaches beyond our control.
- You consent to the processing of your personal data in order to provide the Services, including forwarding data to payment processors or third-party tools as necessary.
13. User Content & Feedback
If you submit content (comments, testimonials, suggestions, templates, reviews, etc.), you grant us a worldwide, perpetual, royalty-free, transferable license to use, copy, edit, publish, distribute, and exploit such content in any medium.
- You represent that any content you upload or share does not violate any copyright, trademark, or other third-party rights, and is not unlawful, abusive, or harmful.
- We reserve the right (but are not obligated) to review, remove, or refuse any user content that violates these Terms.
14. Prohibited Uses
You may not use the Services or website for:
- Any unlawful or fraudulent purpose
- Infringing intellectual property or privacy rights
- Uploading or transmitting viruses, malware, or harmful code
- Attempting to gain unauthorized access to our systems
- Scraping, data mining, or harvesting personal data
- Impersonating others or misleading us or our Third-Party Consultants about your identity
- Transmitting spam or unsolicited advertising
- Engaging in conduct that disrupts the Services or other users’ experience
We reserve the right to suspend or terminate accounts that violate these prohibitions or take further action depending on the seriousness of the offence.
15. Force Majeure
We are not liable for any delay or failure to perform our obligations due to events beyond our reasonable control, including natural disasters, war, strikes, pandemics, power or network failures, government actions, or other “acts of God.”
16. Changes to the Terms or Services
We may modify, update, or replace these Terms at any time, at our sole discretion. We will post the revised Terms on our website, along with a new “Last Updated” date. Changes will take effect upon posting. Continued use of the Services after changes constitutes acceptance. We may also introduce or discontinue features, Products, or Services without prior notice or liability.
17. Termination & Suspension
We may suspend or terminate your access to the Services (or any part thereof) at any time, with or without cause, including due to violation of these Terms. Upon termination, your right to use the Products or Services ceases immediately. Termination does not relieve you of obligations incurred before termination (e.g. payments, indemnification, confidentiality). Sections that by their nature should survive termination (e.g. Intellectual property, liability, indemnification, governing law, etc.) shall survive.
18. Severability
If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision shall be struck or limited to the extent necessary, while the remaining provisions shall continue in full force and effect.
19. Entire Agreement & Waiver
These Terms constitute the entire agreement between you and us regarding the Services and supersede all prior or contemporaneous agreements, understandings, or communications. No waiver of any term or right shall be effective unless in writing.
20. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. All disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the
courts of Sindh at Karachi. You agree to submit to the personal jurisdiction of such courts.
